(the “Company”) issued a pre-earnings release press release, incorporated into this Item 2.02 by reference, relating to its anticipated earnings per share for fiscal year 2005, which ended June 30, 2005. The press release, dated August 8, 2005, is furnished pursuant to Item 2.02, “Results of Operations and Financial Conditions,” Item 7.01, “Regulation FD Disclosure” and Item 9.01, “Financial Statements and Exhibits.”

Attached as Exhibit 99.1, and incorporated into this Item 7.01 by reference, is a pre-earnings release press release relating to the Company’s anticipated earnings per share for fiscal year 2005, which ended June 30, 2005.
As previously announced, the Company will report its fiscal 2005 fourth quarter financial results prior to the market’s opening on Tuesday, August 16, to be followed by an investor conference call that day at 10 a.m. central time.
