Item 2.02 Results of Operations and Financial Conditions.
On August 16, 2005, MGP Ingredients, Inc. (the “Company”) issued a press release, incorporated into this Item 2.02 by reference, relating to financial results for the fourth quarter of fiscal year 2005, which ended June 30, 2005. The press release, dated August 16, 2005, is furnished pursuant to Item 2.02, “Results of Operations and Financial Conditions,” Item 7.01, “Regulation FD Disclosure” and Item 9.01, “Financial Statements and Exhibits.”
Item 7.01 Regulation FD Disclosure.
On August 13, union employees at the Company’s Atchison plant approved a new collective bargaining agreement which became effective on August 15, 2005 and extends through August 31, 2008.
Attached as Exhibit 99.1, and incorporated into this Item 7.01 by reference, is a press release relating to the Company’s financial results for the fourth quarter of fiscal year 2005, which ended June 30, 2005.
An investors’ conference call will take place at 10:00 a.m. central standard time on Tuesday, August 16, 2005. The Company’s senior management will discuss the Company’s fourth quarter results and certain forward looking information during the conference call.
