Item 5.02 Departure of Directors of Principal Officers; Election of Directors; Appointment of Principal Officers.
On July 13, 2021, MGP Ingredients, Inc. (the “Company”) announced the appointment of David S. Bratcher as Chief Operating Officer, effective July 6, 2021.
Mr. Bratcher, 53, joined the Company on April 1, 2021 as President, Brands in connection with the Company’s acquisition of Luxco, Inc. and certain of its affiliates pursuant to a merger transaction. Prior to his employment with the Company, he served as President and Chief Operating Officer of Luxco, Inc., a position he held since 2013.
There are no arrangements or understandings between Mr. Bratcher and any other persons pursuant to which he was selected as Chief Operating Officer. There are no family relationships between Mr. Bratcher and any director or executive officer of the Company and no transactions involving Mr. Bratcher that would require disclosure under Item 404(a) of Regulation S-K.
Attached as Exhibit 99.1, and incorporated into this Item 5.02 by reference, is a press release relating to the appointment of Mr. Bratcher.
